Association
Bylaws
Article I – Name
These bylaws set forth the structure of a community organization to be
known as the East Eaton Wash Neighborhood
Association (“EEWNA” or “the Association”).
Article
II – Area Boundaries
The EEWNA neighborhood (”the Neighborhood”) is considered to be all
area in Pasadena, CA bounded by the “inside”
faces of Foothill Blvd., Orange Grove Blvd., Eaton Wash, and Sierra
Madre Villa Ave.
Article III – Purpose
Said organization is organized to:
- promote
the
quality of the Neighborhood enclosed in its boundaries;
- monitor
actions by other organizations, as those actions affect the quality of
the Neighborhood, including those
actions which are outside the boundary of the Neighborhood;
- promote
actions by city, state and federal governments which will enhance the
quality of the Neighborhood;
- join with
other neighborhood associations to promote the above goals.
Article IV – Membership
Any person 18 years of age or older who lives in the Neighborhood shall
be a member of the Association.
Each member shall have one vote, and may not vote by proxy. There are
no dues and
membership is
automatic.
Article V – Privacy
Membership lists and contact information is to be maintained with care
and used only for association contact
purposes. It is not to be sold, bartered, or published without specific
permission of the member.
Article VI – Steering
Committee
The EEWNA Steering Committee (SC) shall consist of 4 to 7 members,
consisting of all officers and directors. A
decision by the SC requires a favorable vote of a majority (but no
fewer than 3) of the total membership of
the SC. SC members need not be present to vote on SC issues. All
officers shall be elected for a
one-year term by majority vote of members present at an annual meeting.
None, however,
may be elected
with less than 10 percent of votes available from members present. A
person may serve no more than two
consecutive terms in a given office. Any officer may be removed during
term of office by a 2/3
majority vote of the general membership, following a motion and second
from Steering Committee
members.
The officers and their major responsibilities shall be:
President – chair membership meetings; officially represent EEWNA to
external parties.
Vice President – chair steering committee meetings; support and act in
place of President or Secretary as needed.
Secretary – publicize meetings in advance; record and distribute
meeting minutes; maintain contact list.
Treasurer (may be same person as Secretary or Vice President) –
safe-keep, disburse, and account for any funds received
from members or other parties to support EEWNA activity.
In case of an office vacancy, the position will be filled by a nominee
of the SC until a special election is held.
Article VII – Other
Committees
Other Committees. An EEWNA committee focusing on a particular issue or
task may be established or dissolved by
majority vote of the Steering Committee, either upon request from an
Association member or on its own
initiative. Each committee shall have a director who is elected by
majority vote of the
committee
members for a term of 1 year, up to 3 consecutive terms. Any director
may be removed during term of
office by a 2/3 majority vote of the committee membership In case of a
directorship vacancy, a new
director shall be elected. The director will represent the committee in
the SC.
Article VIII –
Endorsements
The Association shall not make any political endorsements or
contributions to political candidates, parties, or causes.
Article IX – Meetings
- Monthly
Meeting: There shall be a meeting of the members once a month at a
public place. Day and hour shall be
designated by the President and stated in notice of such meeting.
- Special
Meetings: Special meetings of the membership may be called by the
Steering Committee or upon written request
of ten members. Such written request shall be presented to the
President ofthe Association. Special meetings shall be held in a public
place at a day and hour as designated by the President and
stated in the notice of such meetings.
- Notice of
Meetings: Notice of monthly and special meetings shall be announced via
public notice and/or direct
contact at least seven days prior to the meeting.
- Quorum: A
quorum at any meeting of the Association's membership shall consist of
five members in addition to any
three of the Steering Committee members.
- Waiver of
Notice: Any member who attends a meeting shall be considered to have
received notice of such meeting.
Article X – Finances
The Association shall not be operated for profit and shall be operated
only for the purposes set forth in Article III.
Article XI – Liability
No officer or member of the Association shall be personally liable for
acts or omissions of any officer or member other than
himself/herself, whether or not such act was in performance of official
duties. No
officer or member of the Association shall obligate the Association, by
contract or otherwise, to perform any act or to incur
any liability without prior authorization of the SC.
Article XII –
Ratification
To become
effective, these bylaws shall be agreed to by a two-thirds vote of all
members present at a
regular meeting
after notice of the meeting including a copy of the proposed bylaws has
been distributed
to all
residences.
Article XIII – Amendments
These
bylaws may be amended or revised by a unanimous affirmative vote of the
Steering Committee
and/or a
two-thirds affirmative vote of all members present at a regular
meeting, provided that timely
notice of the
meeting including a summary of the amendments has been distributed to
all residences.
